Terms and Conditions
Working draft of the terms under which NorthPeak Digital delivers services. Marked provisions require owner confirmation and legal review.
Draft 2026-01 · last updated 2026-01-15
This is a structured working draft. Provisions on payment terms, liability, warranty periods and choice of law are deliberately left open and will be confirmed by the owner and legally reviewed before publication.
1. Scope and applicability
These terms apply to all quotations, engagements and services of NorthPeak Digital, a trading brand of WebRešenje PR, Karađorđeva 58, 26000 Pančevo, Serbia.
The scope of an engagement is recorded in writing in a proposal before work starts. Anything not in the proposal is out of scope.
2. Quotations and pricing
Prices on this website are starting prices and not a binding offer. The final price follows from the proposal.
No contract is formed by submitting a contact or enquiry form. An enquiry is followed by an individual proposal; the contract is only formed by accepting that proposal outside the website.
The validity period of a quotation and the VAT treatment are stated per proposal.
To confirm: To be set by the owner and legally reviewed before publication.
3. Payment
For projects, the standard model is 50% on commissioning / acceptance of the proposal and 50% on delivery, unless otherwise agreed in the proposal.
Exact payment dates are set per proposal/invoice. Payment term, any late-payment interest and collection costs are set per proposal; this draft deliberately contains no filled-in periods.
To confirm: To be set by the owner and legally reviewed before publication.
4. Client responsibilities
The client provides content, access and feedback on time. Delays in delivery shift the schedule.
The client warrants that it holds the rights to supplied text, imagery and trademarks.
5. Intellectual property
On full payment, the rights to the design and website implementation created for the client transfer to the client.
Underlying generic components, frameworks and third-party licences remain subject to their own licence terms.
6. Third-party services, hosting and domains
Hosting, domain registration, email and comparable services are also subject to the relevant provider's terms.
Domain names are registered in the client's name wherever technically possible. The client is and remains the owner of the domain, website and data.
On termination we hand over all access and data. We never withhold accounts, domains or data as leverage.
7. Changes and delivery
Changes outside the recorded scope are quoted as additional work in advance.
Delivery takes place after sign-off on the agreed deliverables; the number of feedback rounds is stated in the proposal.
8. Warranties and maintenance
We remedy defects in the delivered work reported within the period stated in the proposal.
Maintenance, updates and monitoring are only covered if a care plan has been purchased.
We do not guarantee specific commercial results, search rankings or revenue.
To confirm: To be set by the owner and legally reviewed before publication.
9. Liability
The extent and limitation of liability is to be determined with the owner and legal adviser. This draft deliberately contains no liability cap.
To confirm: To be set by the owner and legally reviewed before publication.
10. Termination
Ongoing services may be terminated by either party subject to the notice period stated in the proposal.
On termination all access, files and data are transferred to the client.
To confirm: To be set by the owner and legally reviewed before publication.
11. Governing law and disputes
Governing law, competent court and dispute resolution are to be determined after legal advice, taking into account the establishment in Serbia and clients in the EU. This draft deliberately fills in no choice of law.
To confirm: To be set by the owner and legally reviewed before publication.
12. Consumers and online sales
This website sells nothing directly online: every service starts with an enquiry and a proposal.
If online purchasing by consumers is added later, that requires a separate review of EU consumer law, distance-contract information duties, withdrawal rights, price transparency, VAT presentation and payment regulation.
